1. General Information

These Terms and Conditions ("Terms") govern the use of the website emeraldmodels.ae ("Website") and the services provided by Angelton Agency, S.L.  ("Company", "we", "us"), a company incorporated under the laws of the United Arab Emirates, with registered office in Dubai, United Arab Emirates, License No. 78926717.

By accessing this Website or engaging our services, you ("Client", "User", "you") agree to be bound by these Terms. If you do not agree, please do not use our Website or services.

2. Services

Angelton Agency provides talent management and model agency services including, but not limited to:

• Model and talent representation
• Talent booking for editorial, commercial, and runway projects
• Event staffing and promotional talent
• Talent development and training programs
• Creative direction and production coordination

Specific services, deliverables, timelines, and fees are detailed in individual contracts or booking confirmations, which form part of these Terms.

3. Bookings and Contracts

3.1 Booking Process

All bookings are subject to talent availability and must be confirmed in writing (email or signed contract). A booking is not confirmed until the Client receives written confirmation from Angelton Agency.

3.2 Booking Confirmation

Upon confirmation, a binding agreement is formed between the Client and Angelton Agency. Any changes to the booking (dates, talent, location, scope) must be agreed upon in writing by both parties.

3.3 Client Responsibilities

The Client shall provide a safe working environment, adhere to agreed schedules, and ensure that all usage of talent images and content complies with the contractual usage rights.

4. Pricing and Payment

4.1 Fees

All prices listed on our Website are in United Arab Emirates Dirhams (AED) and exclude VAT at the applicable rate (currently 5% in the UAE) unless otherwise stated. Custom quotes are valid for 30 days from the date of issue.

4.2 Payment Terms

• Projects under AED 2,000: Full payment due upon booking confirmation.
• Projects AED 2,000 and above: 50% deposit upon confirmation, 50% balance due within 7 days of project completion.
• Custom payment plans may be arranged for long-term partnerships.

4.3 Late Payment

Late payments shall incur interest at the rate established by Spanish Law 3/2004 on combating late payment in commercial transactions. We reserve the right to suspend services until outstanding balances are settled.

4.4 Accepted Payment Methods

Bank transfer, credit/debit cards (Visa, Mastercard, American Express), and PayPal.

5. Cancellation and Refund Policy

5.1 Client Cancellation

• 72+ hours before booking: Full refund.
• 48-72 hours before booking: 75% refund (25% cancellation fee).
• Less than 48 hours: 50% refund (50% cancellation fee).
• No-show: No refund.

5.2 Company Cancellation

If Angelton Agency must cancel due to circumstances within our control, we will offer a full refund or an alternative booking at no additional cost. Force majAEDe events are excluded from this obligation.

5.3 Talent Substitution

In the event that a confirmed model becomes unavailable, Angelton Agency will propose a suitable replacement. The Client may accept the replacement or cancel with a full refund.

6. Intellectual Property and Usage Rights

6.1 Image Usage

Usage rights for images and content produced during bookings are specified in each individual contract. No usage beyond the agreed scope is permitted without written authorization and may incur additional fees.

6.2 Website Content

All content on this Website, including text, images, logos, graphics, and design, is the property of Angelton Agency, S.L. or its licensors and is protected by Spanish and international copyright and trademark laws. Reproduction, distribution, or modification without prior written consent is prohibited.

6.3 Model Portfolios

Portfolio images displayed on our Website may be subject to third-party copyright. These images are used with permission for the purpose of showcasing talent and may not be downloaded, copied, or used without authorization.

7. Liability

7.1 Limitation of Liability

To the maximum extent permitted by Spanish law, Angelton Agency shall not be liable for indirect, incidental, special, or consequential damages arising from the use of our services or Website. Our total liability shall not exceed the fees paid for the specific booking in question.

7.2 Force MajAEDe

Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, pandemics, strikes, government actions, or technical failures.

7.3 Indemnification

The Client agrees to indemnify and hold harmless Angelton Agency from any claims, damages, or expenses arising from the Client's unauthorized use of content, breach of these Terms, or violation of third-party rights.

8. Model Representation Terms

8.1 Representation Agreement

Models seeking representation must sign a separate Talent Representation Agreement. These Terms govern the general use of our Website and services and are supplementary to any such agreement.

8.2 Exclusivity

Exclusivity arrangements, if any, are detailed in individual representation contracts and do not form part of these general Terms.

9. Website Use

9.1 Acceptable Use

You agree not to use this Website for any unlawful purpose, to attempt unauthorized access to our systems, to transmit malware, or to engage in any activity that could damage, disable, or impair our services.

9.2 Third-Party Links

Our Website may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of these external sites.

10. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection legislation, including GDPR and LOPDGDD. By using our services, you acknowledge that you have read and understood our Privacy Policy.

11. Dispute Resolution

11.1 Amicable Resolution

The parties agree to attempt to resolve any disputes arising from these Terms amicably through good-faith negotiation within 30 days of written notice.

11.2 Mediation

If amicable resolution fails, the parties may submit the dispute to mediation in accordance with the Mediation Law 5/2012 of UAE.

11.3 Jurisdiction

These Terms are governed by the laws of the Kingdom of UAE. Any disputes that cannot be resolved through negotiation or mediation shall be submitted to the exclusive jurisdiction of the Courts and Tribunals of Dubai, UAE.

12. Consumer Rights

If you are a consumer within the meaning of Royal Legislative Decree 1/2007 (Spanish Consumer Protection Law), you have additional rights including the right to clear information, the right to withdraw from distance contracts within 14 calendar days, and the right to submit complaints to consumer arbitration bodies. For more information, visit the Dubai Consumer Information Office (OMIC).

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via our Website or email. Continued use of our services after modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
